Agreement to Terms

By accessing or using edesminnesota.com or engaging the services of Edes Minnesota LLC (DBA Edes Minnesota), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

Services

Edes Minnesota provides professional print and branding services including but not limited to:

• Screen printing and embroidery on apparel and accessories
• Vinyl graphics, vehicle wraps, and decals
• Interior and exterior signage and banners
• Logo design, branding, and visual identity
• Website design and development
• Promotional products and branded merchandise

Quotes and Orders

• All quotes are valid for 30 days from the date of issue unless otherwise stated.
• Orders are confirmed upon receipt of a signed approval and/or deposit as specified in the quote.
• Changes to an order after approval may result in additional charges and extended turnaround times.
• Minimum order quantities may apply depending on the service requested.
• Complete purchase order number must be placed in the subject line of order and art emails before they can be reviewed.

Order Cancellations

Orders can be cancelled only with written authorization prior to production. If an order is cancelled after production has begun, it may be subject to additional charges. Once an order is customized or decorated at your request, it cannot be returned — as it is made specifically for you.

Customer Approval

Edes Minnesota must receive your proof approval and shipping information before production begins. Once approval is received, any changes may incur additional costs and lead time. Available proofs:

• Digital Proof — Available at no charge upon request.
• Physical Sample — Available at additional cost upon request.

Artwork Requirements

• Embroidery: DST or EMB files preferred
• Screen Printing / Vinyl / Signage: Adobe Illustrator AI or EPS, vector format, text converted to outlines
• Digital Printing: High-resolution PDF or PNG at 300 DPI minimum

Payment Terms

• A deposit of up to 50% may be required before production begins.
• Final payment is due upon completion and prior to delivery unless a net payment term has been agreed upon in writing.
• Government and institutional clients may be eligible for net-30 payment terms upon credit approval.
• Late payments may be subject to a 1.5% monthly finance charge.

Production and Shipping

Production time begins upon receipt of signed Order Approval, payment or deposit, and all order information including shipping addresses. Standard turnaround times are estimates. Rush orders may be accommodated at additional cost. Edes Minnesota is not liable for delays caused by factors outside our control.

Client Responsibilities

• The client is responsible for providing accurate artwork files, specifications, and approvals in a timely manner.
• The client warrants that all provided artwork, logos, and content are owned by them or that they have the legal right to use such materials.
• Edes Minnesota is not responsible for errors in approved proofs or designs.

Intellectual Property

All original designs created by Edes Minnesota remain the intellectual property of Edes Minnesota LLC until full payment is received, at which point ownership transfers to the client. Edes Minnesota reserves the right to display completed work in portfolios and marketing materials unless the client requests otherwise in writing.

Limitation of Liability

Edes Minnesota's liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim. IN NO EVENT SHALL LIAS DESIGN BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOSS OF BUSINESS. Our services are provided on an "AS IS" basis without warranties of any kind, either express or implied.

Indemnification

You agree to defend, indemnify, and hold harmless Edes Minnesota LLC and its officers, directors, employees, and agents from any claims, damages, costs, and expenses (including attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Dakota County, Minnesota.

Modifications

We reserve the right to modify these Terms or discontinue our services at any time without prior notice. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the new Terms.
